Terms of Service

These terms govern use of the Smiles Rewards platform ("the Service") by a merchant ("you", "merchant") we've onboarded. By connecting an account or using the Service, you agree to these terms.

1. The Service

Smiles Rewards is an omnichannel customer loyalty and engagement platform that syncs customer, loyalty, and purchase data from a merchant's connected systems (currently Odoo and Shopify), and sends automated engagement messages based on that data. We're currently onboarding merchants directly rather than offering public self-serve signup — accounts are set up and configured by our team in coordination with each merchant.

2. Accounts and access

You're responsible for the accuracy of the connection details and credentials you provide for your Odoo, Shopify, or other connected systems, and for promptly telling us if access needs to be revoked or updated. We connect to production systems only with your explicit confirmation.

3. Acceptable use

You agree to use the Service only for legitimate customer loyalty and engagement purposes, and not to use it to send unsolicited or unlawful communications, or in any way that violates applicable data protection or consumer protection law in the jurisdictions you operate in.

4. Fees

Self-serve plans are billed through Stripe on the interval you choose at signup (monthly or yearly), starting with a 7-day free trial — see Pricing. Enterprise pricing is agreed directly during onboarding. Any fee change will be set out separately in writing before it applies.

5. Data and privacy

Our handling of merchant and customer data is described in our Privacy Policy, which is part of these terms. You confirm that you have the right to share the customer data your connected systems provide to us, and that doing so complies with your own obligations to your customers.

6. Intellectual property

The Service, its underlying software, and the Smiles^® name and mark are owned by us — Smiles^® is a registered trademark in Pakistan (Trade Mark Registration Nos. 452190 and 452189, Trade Marks Registry Karachi). These terms don't transfer any ownership of the Service or our marks to you. Data belonging to you or your customers remains yours.

7. Availability

We're a small team actively building and iterating on the Service, particularly during this pilot stage. We'll make reasonable efforts to keep the Service available and to give notice of planned maintenance, but the Service is provided without warranty of uninterrupted availability.

8. Limitation of liability

To the extent permitted by law, Smiles Rewards is not liable for indirect, incidental, or consequential damages arising from use of the Service. Nothing in these terms limits liability that cannot be limited under applicable law.

9. Termination

Either party may stop using or providing the Service at any time by giving reasonable notice to the other. On termination, we'll retain your data only as described in our Privacy Policy, and will delete it on request subject to any legal retention requirements.

10. Changes

We may update these terms as the Service evolves. We'll update the date at the top of this page, and will contact merchants directly about any change that materially affects their use of the Service.

11. Governing law

These terms are governed by the laws of Pakistan.
